4. Intellectual Property Rights
All content on this website, including but not limited to text, graphics, logos, icons, images, audio clips, digital downloads, and software, is the property of Smnify or its content suppliers and is protected by international copyright, trademark, and other intellectual property laws. For client projects: Upon full payment of all agreed fees, intellectual property rights for custom-developed software are transferred to the client as specified in individual project agreements. Smnify retains the right to use general knowledge, techniques, and non-proprietary components for future projects unless explicitly agreed otherwise.
5. Client Responsibilities

6. Project Timelines & Delivery
Project timelines are estimates based on initial scope discussions. Actual delivery times may vary based on scope changes, feedback cycles, and third-party dependencies. We commit to transparent communication regarding any timeline adjustments. Milestone-based payments are typically structured as: 30% upon project initiation, 40% at midpoint delivery, and 30% upon final delivery and acceptance. Specific payment terms are outlined in individual project agreements.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW: Smnify shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, whether incurred directly or indirectly. Our total liability for any claims arising out of or related to these terms or our services shall not exceed the total amount paid by you to Smnify in the twelve (12) months preceding the claim. We do not warrant that our services will be uninterrupted, error-free, or completely secure. We are not responsible for any third-party services, APIs, or platforms integrated into your projects.
8. Confidentiality
Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes but is not limited to: business strategies, technical specifications, source code, customer data, and financial information. Confidentiality obligations survive the termination of any agreement for a period of three (3) years unless the information becomes publicly available through no fault of the receiving party.
9. Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules. The arbitration shall be conducted in English. You agree to waive any right to participate in class action lawsuits or class-wide arbitration against Smnify.
10. Modifications to Terms
We reserve the right to modify these Terms of Service at any time. Material changes will be communicated via email to registered clients or posted prominently on our website. Continued use of our services after modifications constitutes acceptance of the updated terms. We encourage you to review these terms periodically for any changes.
